3. Due Diligence

Legal Due Diligence:

The Due Diligence is a fundemental requirement when buying property in Turkey. Our counsel Aydýn Orhan Law Partners re view the property's title and survey to determine the following:

. Are there any liens (including delinquent taxes, mechanics liens, mortgage or deed instruments) recorded against the property that the seller should discharge and release of record on or before closing?

. Are there any easements to which the title company might take exception?

. Are there any encroachments onto adjoining property?

. Are there any zoning violations related to use, height, setback-line restrictions, or parking?

. Does the legal description in the title report match the legal description shown on the survey? and

. Are there any violations under the covenants, conditions and restrictions (CC&R's)?

Due diligence looks for worst-case problems. Likewise, the consequences of overlooking a stipulation about zoning can be quite severe in Turkey.

Commercial Due Diligence:

The future profitability of any real estate investment or real estate development is significantly affected by its market environment, so when evaluating investment opportunities, commercial due diligence has become an essential part of the decision making process. It provides major insight into the current standing and future prospects of the development.

Following an initial briefing to take a client's instructions we will agree the full terms of reference along with the time scale, reporting procedures and the fee structure.

We co-ordinate our time with legal due diligence team, and initially undertake brief desktop research in order to assess the availability of information on the market, and the dynamics of development.

The emerging information from the commercial investigations may change the investment decision. We thoroughly research the agreed areas using an appropriate mix of desk research and original interviews. We detail the findings in a concise and clearly presented report. The executive précis forms an invaluable appendix to your investment committee report, and enhances your decision making.

4. Project Development:

We offer the investors the ability to choose the best service providers in Turkey for their real estate development projects. We establish our client's requirements, and then connect them to Turkey's best architects and contractors to carry out their projects.
